Terms of Service

These Terms of Service ("Terms") govern your use of the go5280systems.com website (the "Site") and the services provided by 5280 Systems LLC ("5280 Systems," "we," "us"). By using the Site or engaging our services, you agree to these Terms. Individual client engagements are additionally governed by a written proposal, statement of work, or service agreement; where that document conflicts with these Terms, the engagement document controls.

1. Services

5280 Systems designs, deploys, and monitors lead routing and business automation systems for home service contractors, including form-to-SMS dispatch pipelines, multi-source lead engines, email deliverability audits, and ongoing RevOps retainers. Service tiers and current pricing are described on our Pricing page.

2. Client-Owned Infrastructure

All automation builds are deployed to software accounts that the client creates, owns, and maintains (for example, Make.com, Zapier, and Twilio accounts). The client grants 5280 Systems developer access for build, testing, and monitoring purposes. 5280 Systems does not host client workflow data on its own accounts. Client-incurred platform fees (e.g., Make.com plans, Twilio usage, carrier registration fees) are the client's responsibility and are separate from 5280 Systems' fees.

4. Tier 1 Money-Back Guarantee

If a Tier 1 Speed-to-Lead build does not deliver lead notifications as scoped within 30 days of go-live, and we cannot remedy the issue within 10 business days of written notice, we will refund 100% of the Tier 1 setup fee.

The guarantee is conditioned on the client maintaining the required software accounts in good standing, completing carrier registration steps we direct, and not materially modifying the deployed workflow without our involvement. The guarantee covers the one-time setup fee; monthly retainer fees for service actually provided and third-party platform costs are non-refundable. Delays caused solely by carrier registration windows (see Section 5) do not trigger the guarantee.

5. Timelines and Carrier Registration

Standard onboarding from signed agreement to live system is approximately 2–3 weeks. A portion of this window is the Twilio A2P 10DLC carrier registration and vetting process, which is controlled by mobile carriers and cannot be accelerated by 5280 Systems. Stated timelines are good-faith estimates, not guarantees, where they depend on third-party processes or client-side account creation.

6. Performance Standard

Every deployed lead routing pipeline is tested to deliver lead notifications in under 60 seconds from form submission under normal operating conditions. Actual delivery time depends on third-party platforms (form providers, Make.com, Twilio, mobile carriers) and may occasionally vary due to factors outside our control. Sustained failure to meet this standard is treated as a service issue under Section 4 (for Tier 1) or the applicable engagement agreement.

7. Intellectual Property

Upon full payment, the client owns the deployed workflows, configurations, and data within the client's own accounts. 5280 Systems retains ownership of its general methods, know-how, templates, and reusable components, which it may use for other clients. Neither party acquires rights to the other's trademarks.

Except as expressly stated in these Terms or an engagement agreement, services are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. 5280 Systems does not guarantee any particular business outcome, lead volume, or revenue result.

10. Limitation of Liability

To the maximum extent permitted by law, 5280 Systems' total liability arising out of or related to an engagement will not exceed the fees paid by the client to 5280 Systems in the three (3) months preceding the claim. 5280 Systems is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost leads, even if advised of the possibility.

11. Termination

Either party may terminate a retainer engagement with 30 days' written notice. Upon termination, 5280 Systems will follow its standard offboarding process: removal of developer access, delivery of a final system summary, and confirmation that the client's accounts remain intact and operational.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Arapahoe County, Colorado.

13. Changes

We may update these Terms from time to time. The effective date above reflects the latest revision. Continued use of the Site or services after changes constitutes acceptance.
