Terms of Service

1. Acceptance of Terms
By engaging 5280 Systems LLC for services, you agree to these Terms of Service. If you do not agree, do not use our services.
2. Services
5280 Systems LLC provides B2B automation consulting, lead routing pipeline development, email deliverability auditing, and related revenue operations services to home service contractors in the Denver metro area. Specific deliverables, timelines, and fees are defined in individual engagement agreements or proposals.
3. Client Responsibilities
- You must provide accurate information about your business, tech stack, and contact details
- All automation pipelines we build are deployed to your own software accounts (Make.com, Zapier, etc.) — you are responsible for maintaining those accounts and associated fees
- You must provide timely access to required systems (DNS manager, CRM, webhook credentials) to avoid project delays
- You are responsible for obtaining any required consent from your customers before we route their data through automated systems
4. Intellectual Property
Upon full payment, you own all automation workflows, scripts, and configurations built for your engagement. 5280 Systems LLC retains the right to use anonymized, non-identifiable project details for case studies and portfolio purposes unless you request otherwise in writing.
5. Infrastructure Delegation
5280 Systems LLC does not host client workflow data on agency-owned software accounts. All live client builds are deployed to client-owned accounts. Retainer fees cover intellectual oversight, monitoring, and support — not third-party software subscriptions on your behalf.
6. Payment Terms
Setup fees and one-time project fees are due before project kickoff. Monthly retainers are billed in advance. Late payments may result in suspension of monitoring and support services. All payments are processed via Stripe.
7. Limitation of Liability
5280 Systems LLC's total liability for any claim arising from our services shall not exceed the total fees paid by you in the 90 days preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue resulting from automation downtime or third-party service outages.
8. Termination
Either party may terminate a retainer engagement with 30 days written notice. One-time project engagements are governed by the terms in the individual proposal. Upon termination, all credentials and access granted to 5280 Systems LLC should be revoked.
9. Governing Law
These terms are governed by the laws of the State of Colorado. Any disputes shall be resolved in the courts of Arapahoe County, Colorado.
